LivryLink Customer Terms of Service

IMPORTANT NOTICE: These Terms of Service constitute a legally binding agreement. Please read them carefully. By creating an account, accessing, or using the LivryLink Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Introduction and Acceptance

These Customer Terms of Service (the "Terms") are entered into by and between you (the "Customer," "Guest," "Rider," or "you") and LivryLink LLC, an Illinois limited liability company located at 1 E Erie St, Suite 525-2154, Chicago, IL 60611 ("LivryLink," "we," "us," or "our"). These Terms govern your access to and use of the LivryLink mobile application, website (including livrylink.com and related domains), technology platform, and any related services (collectively, the "Platform" or "Services").

LivryLink is a technology platform that connects Customers seeking professional luxury ground transportation with independent professional chauffeurs, owner-operators, and affiliated transportation service providers ("Service Providers"). LivryLink does not provide, own, operate, or control the transportation services. The actual transportation is performed exclusively by independent Service Providers who are not employees, agents, or ostensible agents of LivryLink.

By accessing or using the Platform in any manner, you agree to these Terms and to our Privacy Policy (incorporated herein by reference). If you are using the Services on behalf of a company or other entity, you represent that you have authority to bind that entity.

2. Eligibility

You must be at least eighteen (18) years of age and have the legal capacity to enter into binding contracts under the laws of your jurisdiction to use the Platform. By using the Services, you represent and warrant that you meet these requirements. Accounts for individuals under 18 are not permitted. You may book transportation for accompanying minors only when you or another responsible adult will be present during the entire trip.

3. User Accounts

To access most features of the Platform, you must register for and maintain an active personal account. You agree to provide accurate, current, and complete information during registration and to update such information as needed. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You may not share, transfer, or assign your account to any other person. LivryLink reserves the right to suspend or terminate accounts that appear to be shared, duplicated, or used fraudulently.

4. Description of the Services

The Platform enables eligible Customers to request, book, and pay for professional chauffeur-driven ground transportation services, including but not limited to airport transfers, point-to-point transfers, hourly/as-directed service, group transportation, and related logistics. Service availability depends on the location, timing, vehicle type requested, and the availability of independent Service Providers in the relevant area.

LivryLink acts solely as an intermediary technology marketplace. We facilitate the connection between you and independent Service Providers. We do not guarantee that any particular Service Provider will accept a request, that a vehicle of a specific type will be available, or that a trip will be completed without interruption.

5. Bookings, Fares, Payments, and Cancellations

When you request a trip, the Platform will display an estimated or confirmed fare based on the information you provide (pickup, destination, vehicle class, time, etc.). Fares may include base rates, time/distance components, tolls, airport fees, waiting time, gratuities (if pre-selected), and applicable taxes. Final charges may adjust for actual route, wait time, or additional services.

Payment is due as specified at booking (typically in advance or immediately upon confirmation via the payment method linked to your account). By providing a payment method, you authorize LivryLink and its payment processors to charge the applicable amounts. You are responsible for any damage to the vehicle caused by you or your passengers beyond normal wear and tear, and for excessive cleaning fees (including but not limited to biohazards, vomit, excessive dirt, or smoking residue).

Cancellation and no-show policies apply as displayed in the app or communicated at the time of booking. Late cancellations or no-shows may result in full or partial charges. LivryLink and Service Providers reserve the right to cancel or refuse service for safety, operational, or legal reasons.

6. User Conduct and Strictly Prohibited Activities

THE LIVRYLINK PLATFORM AND SERVICES MAY BE USED ONLY FOR LAWFUL PURPOSES. You and any passengers traveling with you agree to the following rules of conduct:

6.1 Legal Use Only

You may request and use the Services solely for legitimate, lawful transportation of yourself and authorized passengers together with their personal belongings. The Services are professional ground transportation services only.

6.2 Absolute Prohibition on Illegal Activities

You expressly agree that you will not, and will not permit any passenger to:

Request, arrange, or use any transportation through the Platform for any purpose involving the possession, transport, distribution, or sale of illegal drugs, controlled substances, or drug paraphernalia;
Use the Services in connection with prostitution, solicitation of prostitution, sex trafficking, or any commercial sex act;
Use the Services for any other criminal activity, including but not limited to human trafficking, smuggling, theft, fraud, or evasion of law enforcement;
Transport any illegal, hazardous, explosive, or prohibited items;
Solicit, encourage, or attempt to involve any Service Provider (chauffeur) in any illegal, immoral, or non-transportation activity.

ZERO TOLERANCE POLICY:

LivryLink maintains a strict zero-tolerance policy regarding the use of its Platform for any activity involving drugs, prostitution, or other illegal conduct. Our independent Service Providers are professional chauffeurs who provide legitimate luxury transportation services only. Any attempt to involve a chauffeur in illegal activity, to pressure a chauffeur regarding drugs or prostitution, or to use the vehicle for such purposes is strictly forbidden, constitutes a material breach of these Terms, and may result in immediate termination of the trip without refund, permanent ban from the Platform, reporting to law enforcement authorities, and full legal liability on your part.

6.3 Additional Prohibited Conduct

You further agree not to:

Harass, threaten, intimidate, discriminate against, or disrespect any Service Provider or other user;
Smoke, vape, or use any tobacco or cannabis product inside the vehicle (unless expressly permitted by the Service Provider in writing for a specific trip);
Consume alcohol to the point of intoxication or engage in behavior that endangers the safety of the vehicle, chauffeur, or other passengers;
Exceed the legal or manufacturer-rated passenger capacity of the vehicle;
Cause damage to the vehicle or leave trash, bodily fluids, or excessive mess;
Record audio or video of the chauffeur without their knowledge and consent where prohibited by law;
Use the Platform while impaired or for any purpose that violates applicable traffic, aviation, or transportation laws.

Service Providers are fully authorized to refuse to begin or to immediately terminate any trip if they reasonably believe that the request or the conduct of the Customer or passengers involves illegal activity, poses a safety risk, or violates these Terms. In such cases, you remain responsible for any applicable charges and LivryLink shall have no liability for refunds or alternative transportation.

7. Safety and Community Standards

Safety is a shared responsibility. You agree to follow all applicable laws, wear seat belts at all times, and follow the reasonable instructions of the Service Provider regarding vehicle safety. You acknowledge that LivryLink and Service Providers may share limited trip information with emergency services if necessary for safety. Any report of misconduct, illegal activity, or safety concern may be investigated and may result in account suspension or termination.

8. Independent Service Providers

All transportation is provided by independent third-party Service Providers. Service Providers are not employees, partners, joint venturers, or agents of LivryLink. LivryLink does not control the manner, method, or means by which Service Providers perform transportation services. Any ratings, feedback, or quality standards displayed on the Platform are for informational purposes and do not create an employment or agency relationship.

9. Disclaimers

THE PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. LIVRYLINK DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIVRYLINK DISCLAIMS ALL LIABILITY FOR: (a) the acts, omissions, or conduct of any Service Provider or third party; (b) any delay, cancellation, or failure to provide transportation; (c) any personal injury, property damage, or loss arising from use of the Services; (d) any criminal or illegal activity by any user, passenger, or third party; and (e) any indirect, incidental, special, consequential, or punitive damages.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LIVRYLINK'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF FEES YOU PAID TO LIVRYLINK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE THOUSAND U.S. DOLLARS (US $1,000). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH CASES, LIVRYLINK'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to defend, indemnify, and hold harmless LivryLink, its affiliates, officers, directors, employees, agents, and Service Providers from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services or the Platform; (b) your breach of these Terms; (c) any violation of law or the rights of any third party by you or your passengers; (d) any illegal or criminal activity (including drug-related or prostitution-related activity) by you or your passengers in connection with the Services; (e) any damage to property or injury caused by you or your passengers; and (f) any claim by a Service Provider arising from your conduct.

12. Termination

LivryLink may suspend or permanently terminate your access to the Platform at any time, with or without notice, for any reason, including but not limited to violation of these Terms, suspected illegal activity, safety concerns, or non-payment. Upon termination, your right to use the Services ceases immediately. Sections relating to disclaimers, limitation of liability, indemnification, governing law, and any accrued payment obligations shall survive termination.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States of America, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If unresolved, exclusive jurisdiction shall lie in the state or federal courts located in Cook County, Illinois, unless applicable law requires otherwise. You and LivryLink each waive any right to a jury trial to the extent permitted by law.

14. Miscellaneous

These Terms, together with the Privacy Policy and any additional policies referenced herein (including cancellation and luggage policies displayed in the app), constitute the entire agreement between you and LivryLink regarding the Services. If any provision is held unenforceable, the remaining provisions shall continue in full force. LivryLink's failure to enforce any right shall not constitute a waiver. You may not assign these Terms without our prior written consent. LivryLink may assign these Terms without restriction. We may update these Terms from time to time; continued use after posting constitutes acceptance of the revised Terms. The official language of these Terms is English.
